A study guide for the DLD broker exam. Not official DLD material; DLD does not publish the exam format — details are based on our brokers' experience. Updated: 13 Oct 2026. [All guides](/dld-broker-exam-practice/study-guide/) · [Glossary](/dubai-real-estate-glossary/)

**In brief:** The main source on ethics is the **official Dubai Brokers Code of Ethics** (RERA / Land Department): 11 principles that a broker signs as an undertaking, and the DLD “Ethics in Real Estate” page with 10 examples of violations. The Code “supplements” Bylaw No. 85 of 2006 (Art. 22 directly refers to it). Broker duties are in Bylaw 85/2006 (Arts. 14–25), sanctions are in Arts. 39–41, and fines for operating without a licence are in Executive Council Resolution No. 25 of 2009 (50,000 AED, doubled if repeated within a year, with a cap of 1,000,000 AED). The DLD exam tests this in a “correct/incorrect” and “which of the following is a violation” format. Important: the exam has included a **disputed key** regarding disclosure of the reason for sale — under the official code, this is a violation (see below).

## What the sources mean

| Source | Status | How to use it |
| --- | --- | --- |
| RERA / Land & Property Department Code of Ethics: 11 principles (rpdubai.ae snapshot, 2009) and the DLD “Ethics in Real Estate” page (2012, 10 examples of violations) | **Official text** | Main reference; cite by principle number |
| Bylaw No. 85 of 2006, Ch. 3 (Arts. 14–25) and Ch. 6 (Arts. 39–41) — official DLD publication | Law | Cite with the article number |
| ECR No. 25 of 2009, Appendix 2 | Law | Fines |
| BPMG Code (Dubai Real Estate Brokerage & Property Management Group, under Dubai Chambers) | **Private, not official** | Only an additional reference “in spirit”; do not cite it in the exam or before DLD |

Art. 14 of the Bylaw: brokers must comply with the code of professional ethics. The official text was found in the web archive (Real Property Dubai / RERA portal, 2009, and the DLD “Ethics in Real Estate” page, 2012). No separate PDF from the Committee was found: the code consists of 11 principles with a signed undertaking. The 2009 code itself (11 principles) **does not** contain a separate provision on “dual representation” (dual agency), but the rule is in the RERA training course (module 6, “Don’ts”): *«Do not represent more than one party to the deal without full, written disclosure and consent from both parties.»* — see the “RERA Course: Do’s and Don’ts” section below. This is a RERA course rule, not the text of the 2009 code.

## Official Code of Ethics: 11 principles

The broker signs: “We, Real Estate Brokers licensed to practice in the Emirate of Dubai, hereby undertake to adhere to the following principles and rules”. Below is the essence and the key phrase (verbatim, EN).

| No. | Principle | Essence | Key phrase |
| --- | --- | --- | --- |
| 1 | Fair Treatment (fair treatment) | Treat all parties equally, without bias | *«treat all contracting parties equally and to achieve justice between them without prejudice or differentiation»* |
| 2 | Respectful Treatment (respectful treatment) | Respect the parties and their privacy, do not demean them | *«respect the privacy of parties and we reject any conduct that would belittle them»* |
| 3 | Preservation of Privacy (preservation of confidentiality) | Do not disclose confidential information about the buyer, seller and other participants; do not allow leaks | *«not to reveal any information which is confidential or considered as such to any party»* |
| 4 | Trust and Integrity (trust and honesty) | Present the transaction honestly to both parties and disclose all known facts about the property | *«present the deal to both parties honestly and to inform the parties of all the facts and circumstances known to us regarding the real estate»* |
| 5 | Quality Observance (quality) | Services of practical value, continuous improvement of accuracy and quality | *«provide brokerage services of practical value»* |
| 6 | Observance of Regulations and Laws (compliance with laws) | Comply with laws and contractual obligations; do not allow non-brokers into the office or let them use the name/licence; forgery and false data are grounds for investigation and penalties | *«not to allow individuals who are not brokers to operate through our office or to exploit the name or licence of our office»* |
| 7 | Integrity (integrity) | Work based on reliable and clear information, transparently towards all parties | *«our efforts will be based on trustworthy and clear information»* |
| 8 | Obligation towards the Society (obligations towards society) | Respect the values of society and support the growth of the emirate’s market | *«respect the values and principles of our society»* |
| 9 | Observance of the Interests of Contracting Party (interests of the parties) | Protect the interests of the parties and do nothing that harms the interests of either of them | *«abstain from doing anything that might harm the interest of one party»* |
| 10 | Obligation to Preserve Document (document retention) | Preserve all documents and items relating to the transaction | *«preserve all documents, instruments and things related to the deal»* |
| 11 | Respect of the Regulations and Procedures of the Lands & Property Department | Respect Department procedures, behave properly, and do not establish “special relationships” with its employees for personal gain | *«not to establish special relations with the Department employees for personal gain»* |

The undertaking contains 2 additional points: visit the RERA website once a week, read new announcements and laws and apply them; carry the Broker Card at all times while working and show it upon request.

**Dual representation.** There is no separate rule. Principles 1 (equal treatment of parties), 4 (honesty to both parties) and 9 (do not harm either party’s interests), plus Arts. 19–20 of the Bylaw, apply.

**A broker’s duties towards the client** follow from principles 1, 3, 4, 7, 9 and 10. The word “loyalty” does not appear in the code text.

## 10 examples of violations (DLD “Ethics in Real Estate” page)

The page introduces them with the words “Some Examples of a breach of the Code Ethics in Real Estate”.

1. Misleading a Buyer or a Seller on the current market value of the price of a property. / Misleading a buyer or seller about the current market price.
2. Deliberately or unintentionally withholding relevant information from a Buyer or a Seller. / Deliberate or unintentional withholding of relevant information from a buyer or seller.
3. Marketing, advertising, listing or promoting property too high or too low in price without written consent and agreement from the Owner. / Advertising and listing a property at too high or too low a price without the owner’s written consent.
4. False or misleading advertising to consumers on the price, features or benefits of a property causing loss or financial harm to investors by print or electronic media. / False or misleading advertising of the price, features or benefits of a property that causes losses to investors.
5. Impeding or interfering in an existing contract of sale causing buyer or seller to default through action or lack of action related to the Broker / Agent’s professional duty of care. / Interference with an existing sale and purchase agreement resulting in a party defaulting on the transaction (by action or inaction).
6. **Breach of Privacy of the Client by revealing the reason for the Sale or other private knowledge of the Client without permission.** / Breach of client privacy: disclosure of the reason for sale or other private information without permission.
7. Revealing the details of personal or private information related to the Client or Customer or revealing the reason for the Sale or other private knowledge of the Client without express permission. / Disclosure of the client’s personal or private information, or the reason for sale, without express permission.
8. Pressuring a consumer to sign a document without them reading, or understanding the document and their legal obligations, or denying them the opportunity to seek legal advice prior to signing. / Pressuring a client to sign a document without reading and understanding it, or refusing to allow them to obtain legal advice.
9. Making direct contact with another agent’s client whilst they have an agreement in place. / Direct contact with another agent’s client while their agreement remains in force.
10. Delaying presenting an ‘offer to buy’ to a Seller, or making an unauthorized decision regarding the sale without prior consent of the Owner of the property. / Delaying submission of an offer to the seller or making an unauthorised decision on the sale without the owner’s consent.

The page ends with: “Or telling outright lies” (direct lying). Points 6 and 7 essentially duplicate each other.

**Disclosure of the reason for sale and other private information without the client’s permission is a violation under the official text** (principle 3 and points 6–7). In the DLD exam question “breaching the client privacy includes revealing the reason for the sale…” there has been a key that marked “Correct” as incorrect. This is a key defect: under the code, it is a violation; the exam has contained a disputed key.

## Duties under Bylaw 85/2006

| Article | What it requires (essence) |
| --- | --- |
| Art. 3 | Brokerage activity in the Emirate is permitted only with a licence and entry in the Real Estate Brokers Register |
| Art. 14 | Comply with the code of professional ethics |
| Art. 15 | Maintain a personal register of all transactions, preserve documentation, and provide parties with a certified copy upon request; when selling off-plan or from a model, retain the plan/model until completion of the transaction |
| Art. 16 | Provide information, data and statistics on brokerage activity upon DLD request |
| Art. 17 | Disclose to the client all negotiation details, stages and everything needed for a correct decision; disclose to the other party all substantial matters concerning the subject of the contract (“all substantial matters”) |
| Art. 18 | Do not facilitate a transaction that violates applicable laws |
| Art. 19 | Even when representing one party, honestly disclose known transaction terms; the broker is liable for deception and error |
| Art. 20 | May not act as the other party in a transaction they arrange without the permission of one party; in such case, no remuneration is due |
| Art. 21 | The broker is a trustee in respect of money, securities and other items handed over for safekeeping or transfer to the other party |
| Art. 22 | Liable for parties’ losses resulting from deception or breach of the Bylaw and the code |
| Art. 23 | Loses remuneration and reimbursement of expenses if acting in the interest of the other party or accepting a promise of benefit from it contrary to good faith and the code |
| Arts. 24–25 | Several brokers under one contract have joint liability unless authorised to act separately; several clients of one broker are also jointly liable unless agreed otherwise |

Additionally: Art. 28 — remuneration is due only if the contract is concluded; as a general rule, upon signing the sale and purchase agreement and registration with DLD, unless the brokerage agreement states otherwise (according to the legal digest, ⚠️ to be confirmed against the text). Art. 33 — remuneration is paid by the party that hired the broker; if hired by both, each is liable for its share.

## Sanctions

**Art. 39.** In addition to other sanctions under the law, the Committee may impose on a broker for breach of the Bylaw and its instruments: 1. notice (notification); 2. warning (warning); 3. suspension of activity **for up to 6 months**; 4. blacklisting (black list).

**Art. 40.** An entry in the register is cancelled for breach of the code of ethics, serious breach of laws or accumulation of **3 black points**. The decision is issued by order of the Director General on the Committee’s recommendation; the broker may lodge a complaint with the Chairman within 15 days, and the Chairman’s decision is final.

**Art. 41** (under the text, except point 5): status is also lost upon cessation of activity, inactivity for more than 12 consecutive months without an acceptable reason, failure to meet Bylaw requirements, or obtaining registration based on false data.

**Fines (ECR 25/2009, Appendix 2, Art. 2).** – Brokerage activity without a RERA licence — **50,000 AED**. The same amount applies for failure to provide RERA with data, operating on a project not registered with RERA, any real-estate activity without a licence, and breach of licence conditions. – If repeated within a year, the fine is doubled, but not above **1,000,000 AED**. – Fines of 100,000–500,000 AED from the same appendix apply to developers and escrow agents, not brokers (details — RERA Code of Ethics: What the Broker Is Responsible For and What They Are Not).

There are no “coloured cards” in the official texts (Bylaw 85, ECR 25/2009) — do not describe them as a rule. The Red/Yellow/Green traffic-light points system is described only in the RERA training course (module 6) — see the “RERA Course: Do’s and Don’ts” section below, with the caveat regarding its discrepancy with Art. 40.

## What the ethics exam asks

Below are questions from the agency’s question bank (with key reliability labels).

| Exam question | Answer | Basis |
| --- | --- | --- |
| The following is considered to be a breach of the code of ethics | **Failing to preserve all documents and instruments related to the real estate deal** | Proven. Consistent with Art. 15 |
| Registered brokers have an ethical duty not to withhold relevant information, deliberately or unintentionally, from a Buyer or a Seller out of fear of losing the listing/deal | **Correct** | Conclusion from the topic. Consistent with Arts. 17 and 19 |
| An ethical broker delays presenting an offer to buy to a Seller, or makes an unauthorized decision regarding the sale without prior consent of the Owner | **Incorrect** (the statement is incorrect: such a broker is not considered ethical) | Consistent with the official list of violations (“Delaying presenting an offer to buy to a Seller…”); BPMG How to find out the actual construction progress.1 — additional |
| A broker is required to take reasonable steps to avoid making a mistake that could result in his client suffering a financial loss. The term for that is | **Due Diligence** | Proven |
| Which of the following is a required duty by a Broker towards his/her client | **All of them** (loyalty, honesty, confidentiality, full disclosure, fairness) | Exam experience. Under the official code, duties are principles 1, 3, 4, 7, 9, 10; the word loyalty is absent from the text. Private BPMG is additional |
| Which of the following best describes an invalid contract according to good ethical conduct… | **All clients are treated in equally fair and honesty** | Assessed as medium reliability; the question wording is distorted |
| What actions should the broker refrain from doing | **Disclosure of the owner’s personal information if it is shared with him as confidential** | Consistent with principle 3 of the official code |
| What should broker always do | **All answers are correct** | Proven |

### Disclosure of the reason for sale: exam experience and code

The exam offers: *«According to the Code of Ethics, breaching the client privacy includes revealing the reason for the sale, or other private knowledge without your client permission.»* The official code (DLD “Ethics in Real Estate” page) literally calls this a violation: *«Breach of Privacy of the Client by revealing the reason for the Sale or other private knowledge of the Client without permission»*; and principle 3 prohibits disclosure of confidential information. Therefore, **the statement is correct**. The question-bank key that marked “Incorrect” (obtained by elimination) is a likely defect in exam experience. Honestly: **under the code, it is a violation; the exam has contained a disputed key.** If the question appears in this form, answer according to the official text and report the disputed question. In work, we **do not disclose** the reason for sale, urgency, financial position or the seller’s personal data without their consent, see Owner’s personal data: what must not be shared and why.

### Dual representation

Exam statement: *«If a registered broker is representing both parties in a transaction, it is his/her responsibility to treat them both fairly equal, and at the same time to promote both clients’ interests, even if it means losing his/her commission.»* — **Incorrect** (medium reliability, no direct key). The 2009 code text does not contain a separate provision on dual representation; principles 1 (equal treatment), 4 (honesty to both parties) and 9 (do not harm either party’s interests) apply. However, the rule is explicitly stated in the **RERA course** (module 6, “Don’ts”; this is a RERA course, not the text of the code): *«Do not represent more than one party to the deal without full, written disclosure and consent from both parties.»* (RU: may not represent more than one party to a transaction without full written disclosure and the consent of both parties). The course also requires: *«Receive compensation from only one party, except where they make full disclosure and receive informed consent from their client.»* Details are in the “RERA Course: Do’s and Don’ts” section. There is no rule to “promote the interests of both parties even at the cost of commission”: under Art. 19 of the Bylaw, a broker representing one party honestly discloses the terms known to them, and under Art. 20 may not act as the other party without permission. The private BPMG code (Hotel and branded apartments are not ordinary flats.1; **not official**) requires the informed written consent of all parties, and under Service Charge: what it consists of, reserve fund, what it depends on.1, commission from several parties cannot be taken without disclosure and consent. For reliability in the agency, it is better to **record consent in writing**.

### A broker moved to another office

- Listings obtained at office A remain with office A *(exam: «The listings belong to real estate company A»)* [high reliability].
- The active contract (in the questions — Contract F and Contract A) remains with the original office, which appoints another broker to replace the one who left *(«Original real estate office will assign another broker in place of resigned one»)* [proven / conclusion from the topic].

**According to the exam answer, no official text was found.** The principle is logical: the contract is concluded with the office, not with the broker personally. See Contract A.

### Other answers useful to know

- Before a sale and purchase/lease agreement, the broker must verify the owner: *«No, ownership verification is required»* [high].
- A foreigner — only in permitted areas; “the broker is not required to check this” — Incorrect [high].
- The Broker Card can be checked through all proposed channels (“All answers are correct”) [medium].

## RERA Course: Do’s and Don’ts

**Source and status.** Slides from the mandatory RERA broker course, module 6 “Code of Ethics”. The course was compiled approximately in 2013–2017: it is **RERA training material**, not the text of the 2009 Code and not a law. The wording below is quoted verbatim (EN) with translation (RU). The course states that breaching the code means breaching Bylaw 85/2006 (“If a broker violates the Code of Ethics, he violates By Law 85. of 2006”) and entails disciplinary action.

### Key “Don’ts” rules

| Course rule (EN, verbatim) | RU |
| --- | --- |
| *Do not represent more than one party to the deal without full, written disclosure and consent from both parties.* | **Dual representation:** permitted only with full written disclosure and the consent of both parties. Orally or with one party’s consent — not permitted. |
| *Do not represent yourself as a party to the transaction, and as a broker at the same time (if you do, you are not entitled to Commission).* | May not simultaneously be a party to the transaction and the broker; if this occurs, no commission is due. Consistent with Art. 20 of Bylaw 85/2006. |
| *Receive compensation from only one party, except where they make full disclosure and receive informed consent from their client.* (Duties to Clients section) | Remuneration — from only one party; from both parties only with full disclosure and the client’s informed consent. |
| *Do not breach the privacy of the client by revealing the reason for the sale, or other private knowledge without permission.* | May not disclose the **reason for sale** and other private client information without their permission (confirmed by the official DLD list of violations, see above). |
| *Do not delay presenting an “offer to buy” to a seller, or make an unauthorized decision regarding the sale without prior consent of the owner of the property.* | **Offer delay:** the buyer’s offer must be submitted to the seller without delay; the broker does not make decisions about the sale without the owner’s consent. |
| *Do not accept a Power of Attorney from any party (including your client).* | Do not accept a Power of Attorney from any party, including the client. |
| *Do not accept money/funds into your bank account from your clients.* | Do not accept clients’ money into your bank account. |

| *Do not make direct contact with another broker’s client whilst written agreements are in place.* | Do not contact another broker’s client directly while a written agreement is in force. |
| *Do not pressure clients to sign a document without them reading, or understanding the document and their legal obligations as per the document, or denying them the opportunity to seek legal advice prior to signing.* | Do not pressure a client to sign; allow them to read, understand and obtain legal advice. |
| *Do not market, advertise, list or promote a property too high or too low in price. DO a CMA.* | Do not overprice or underprice in advertising; rely on a CMA. |
| *Do not withhold relevant information, deliberately or unintentionally, from a buyer or a seller out of fear of losing the listing/deal.* | Do not withhold relevant information out of fear of losing the transaction. |
| *Do not promise your clients future profits!* | Do not promise clients future profits. |

### Key “Do’s” rules

- *Do get licensed before working with clients on any sort of property showing or deals.* — obtain a licence before any work with clients.
- *Do download the “Dubai Brokers” app to your smart device, to validate the owner’s ownership certificate before initiating any contract.* — verify ownership through the Dubai Brokers app before any contract (Contracts A, B and F are also available through it).
- *Do include “RERA Permit Numbers” to all listings ( sales and rentals) ads and marketing material.* — include the RERA Permit number in every advertisement, including social media.
- *Do have the commission split between you and other brokers in writing.* — record commission splitting between brokers in writing.
- *Do give full disclosure to all parties about the number of registered Brokers working with you on the deal.* — disclose to all parties how many brokers are involved.
- *Do ensure that all monies from off-plan properties go into the designated Escrow Account.* — off-plan money must go only into the Escrow Account.

**Duties to the Public (towards society):** – *Give equal professional service to all clients and customers irrespective of race, color, religion, sex, handicap, familial status, or national origin.* – *To be knowledgeable and competent in the fields of practice in which you engage or get assistance from a knowledgeable professional, or disclose any lack of expertise to their client.* – *Paint a true picture in their advertising and in other public representations.* – *Do not engage in the unauthorized practice of law.* – *Willingly participate in ethics investigations and enforcement actions.*

RU: equal service without discrimination; competence (or engaging a specialist, or disclosing lack of experience); truthful advertising; do not practise law without authority; cooperate with ethics investigations.

**Duties to other Agents (towards colleagues):** – *To make only truthful, objective comments about other real estate professionals.* – *Respect the exclusive representation or exclusive brokerage relationship agreements that other agents have with their clients.* – *Arbitrate financial disagreements with other agents and with their clients.*

RU: only truthful and objective comments about colleagues; respect other agents’ exclusive agreements; resolve financial disputes by arbitration.

### Violations and the Red/Yellow/Green points system (according to the course)

The course lists violations: operation of an office or broker without registration, acting outside permitted activity, absence of ORN/BRN and the RERA Permit number in advertising, expired licence/permit/registration/card, activity without a licence, marketing an unregistered project, submitting incorrect data and documents, and unethical practice. To classify them, the course introduces a “traffic light” (identical for offices and brokers):

- 1 Red point = 20 black points; Yellow: 1st = 5, 2nd = 10, 3rd = 20 black points (doubled if repeated within a year); Green: 1st = 5, 2nd = 10, 3rd = 15, 4th = 20 black points (accumulated if repeated within a year). A sanction is imposed upon accumulation of 20 black points: 1 Red, or 3 Yellow, or 4 Green.
- Red (brokers): *Marketing unregistered projects*, *Providing false information*, *Dealing with brokers who are not RERA registered*. Yellow: including *Not respecting customer privacy*, *Lack of fair treatment to the parties*, *Advertising without mentioning ORN & BRN*. Green: *Not displaying Broker RERA Smart Card*.
- The course specifies the sanction for every 20 black points: a fine of 50,000 AED, card confiscation, suspension for 30 days (1st time), 90 days (2nd time), and on the 3rd time — irrevocable cancellation of registration; for an office: prohibition on registering new brokers, prohibition on permits for new branches for a year, and a fine of 50,000 AED.

**Caveat (important for the exam and articles).** This system from the RERA course **differs from Bylaw 85/2006**: under Art. 40, a broker’s register entry is cancelled upon accumulation of **3 black points** (not 20), and Art. 39 provides a different list of sanctions (notice, warning, suspension for up to 6 months, blacklisting). A current decree or decision introducing the Red/Yellow/Green scale and conversion to black points **was not found** in the official texts (Bylaw 85, ECR 25/2009, DLD pages). The course is outdated (approximately 2013–2017); the scale figures must not be presented as a current rule. For answers, rely on Arts. 39–41 and ECR 25/2009; regarding the “traffic light”, state: “this is described in the RERA course, and its currency has not been confirmed”.

## What to do in practice

1. Archive everything relating to the transaction: correspondence, documents, scans (Art. 15; principle 10; exam answer on documents). See WhatsApp correspondence is an official document: how this changes a broker’s work.
2. Inform the client about all offers immediately. Delay is expressly included in the DLD list of violations.
3. Do not withhold relevant information: neither from the seller nor from the buyer (Art. 17).
4. If you have your own interest in the transaction, disclose it first and obtain written consent.
5. Do not take clients’ money yourself — only through formal channels (Art. 21 and Why a broker never accepts a client’s money or cheque in their own name).
6. Do not disclose owner data and the reason for sale without consent (principle 3, Owner’s personal data: what must not be shared and why).
7. Before changing offices, remember: listings remain with office A.

## Common mistakes

- Assuming that the reason for sale may be disclosed (due to a disputed exam experience) → under the official code, this is a breach of client privacy.
- Holding an offer “until a better one” → unethical; the broker does not make decisions for the owner.
- Citing the private BPMG code as official → only the RERA code (11 principles) is official.
- Referring to “cards” and “100,000 AED for a single violation” → for brokers in Appendix 2, it is 50,000 AED.
- Taking listings when changing offices → they belong to office A.
