This topic tests whether you can distinguish the roles of Contract A, Contract B and Contract F in a Dubai resale transaction, identify who creates and approves each document, and apply rules on advertising permits, exclusivity, deposits and commissions. It also checks whether you can separate DLD procedures, exam-key rules and brokerage operating practices where they do not fully match.

These rules matter in daily brokerage work because a missing Contract A can prevent lawful marketing, an incorrectly handled exclusive listing can block a new contract, and Contract F creates serious obligations for the seller and buyer. In our 30-question training simulation, this topic usually accounts for about 5 questions, based on the experience of our brokers; DLD does not publish this as an official exam format.

## Contract A, Contract B and Contract F

The three smart contracts cover the main resale journey:

- **Contract A** is between the seller and the brokerage office. It is a marketing agreement and is the basis for the advertising permit.
- **Contract B** is between the buyer and the broker. It records the buyer’s intention and representation arrangement, but it does not impose a penalty if the buyer withdraws.
- **Contract F** is between the seller and buyer. It records the final price, deposit and transaction conditions and operates as a legally effective MOU after electronic signing.

Contract A is created by the seller’s broker and approved by the owner. Contract B is created by the buyer’s broker and approved by the buyer. Contract F is created by the seller’s broker from an approved Contract A; the buyer’s broker does not approve Contract F.

## Marketing, permits and exclusivity

A signed Contract A produces the basis for a marketing permit, including the relevant QR code, Permit, Advertisement or Listing Number. A brokerage may not advertise a property on portals or advertising channels without that permit. If the price changes, Contract A and the permit must be issued again.

- Our training questions use a maximum of **3 active Contract A agreements** for one property, from different offices.
- The official DLD documents we reviewed do not state the number 3; it is an operational system rule used in the exam.
- An exclusive listing means one broker handles the property. While exclusivity is active, the system does not allow another Contract A for that property.
- Creating Contract A has **no fee** for the broker or owner.
- Advertising without the required QR-linked permit is prohibited; the stated fine for no QR code is **50,000 AED**.

## Terms, deposits, commissions and Contract F

Contract B has a system minimum term of **1 day** and a default term of **2 months**. Contract F is usually valid for 2 months and cannot be terminated unilaterally. If one party withdraws without a valid reason, the stated penalty is **10%** of the property value.

- Commission is shown in Contract A and Contract B, not in Contract F.
- DLD documents we reviewed do not set a minimum deposit for Contract F. Our training questions accept that a seller may accept an offer without a deposit.
- The deposit cheque is held by the brokerage office until Contract F is completed, terminated by mutual agreement, or resolved through court.
- Contract F does not allow extra owners to be added.
- If several brokers work independently and one closes the transaction, that broker receives the full commission. If several brokers work together for one side, they share the commission as one side.

## Sample questions with explanations

*Questions are paraphrased in the style of the exam; they are not official DLD questions.*

### 1. Under Circular 02-2026, which people may a brokerage still contact directly?

1. Clients with documented earlier transactions with the office, supported by an approved relationship record.
2. Owners whose telephone numbers are displayed on a property portal.
3. Owners of properties located in the same community as the broker’s listings.
4. Any owner who agreed to a call during an initial conversation.

**Show answer and explanation**

**Answer: A) Clients with documented earlier transactions with the office, supported by an approved relationship record.**. The exception applies to clients with properly documented prior dealings with the brokerage, provided an approved record of that relationship is maintained.

### 2. Which smart contract is the agreement between a buyer and the buyer’s broker?

1. Contracts A and B together.
2. Contract B.
3. Contract F.
4. Contract A.

**Show answer and explanation**

**Answer: B) Contract B.**. Contract B is the buyer-broker agreement. It records the buyer’s intention and representation arrangement and is created by the buyer’s broker.

### 3. Before promoting an off-plan project under Circular 01-2026, which combination is required?

1. An escrow account and a 30% bank guarantee from the developer.
2. Only an official RERA permit, with registration and escrow completed after launch.
3. DLD project registration and at least one signed sale contract.
4. DLD registration, an approved escrow account and an official RERA permit before promotion.

**Show answer and explanation**

**Answer: D) DLD registration, an approved escrow account and an official RERA permit before promotion.**. The required sequence is DLD project registration, an approved escrow account and an official RERA permit before any promotion begins.

### 4. How does an exclusive listing differ from an open listing?

1. An exclusive listing is given to several brokers, while an open listing goes to only one.
2. An exclusive listing is verbal, while an open listing must be written.
3. An exclusive listing is assigned to one broker, while an open listing may be assigned to several brokers.
4. An exclusive listing is only for rentals, while an open listing is only for sales.

**Show answer and explanation**

**Answer: C) An exclusive listing is assigned to one broker, while an open listing may be assigned to several brokers.**. An exclusive listing gives one broker control of the listing. A non-exclusive or open listing may be given to more than one broker.

### 5. What sanctions may follow a broker’s breach of Circular 01-2026 concerning off-plan promotion?

1. Only loss of commission on that transaction, without further consequences.
2. Only a written warning to the office, with no fine or suspension.
3. Only a civil claim by the developer in the real estate court.
4. Fines, suspension of activity or removal from the Real Estate Brokers Register.

**Show answer and explanation**

**Answer: D) Fines, suspension of activity or removal from the Real Estate Brokers Register.**. The stated consequences are regulatory sanctions: fines, suspension of activity or removal from the Real Estate Brokers Register.

### 6. What does the system do if a seller has granted one agent an exclusive listing?

1. It prevents another Contract A from being created while the exclusive period continues.
2. It automatically ends exclusivity after the first 30 days.
3. It allows unlimited agents to create their own Contract A agreements.
4. It hides the property from the Dubai Brokers app until exclusivity ends.

**Show answer and explanation**

**Answer: A) It prevents another Contract A from being created while the exclusive period continues.**. While an exclusive listing is active, DLD does not issue another Contract A for the same property, whether ordinary or exclusive.

### 7. Who pays a fee to create Contract A between the broker and the owner?

1. The broker and owners split it equally.
2. The broker pays it.
3. There is no fee to create Contract A.
4. All owners pay it.

**Show answer and explanation**

**Answer: C) There is no fee to create Contract A.**. The exam rule is that no fee is charged for making Contract A. This is separate from the marketing-permit process and its applicable fee.

### 8. Why might an owner appoint a broker on an exclusive listing?

1. It secures the broker’s commission if the property is sold, regardless of who completes the sale.
2. It allows the owner to avoid brokerage commission entirely.
3. It lets the owner appoint many brokers for the same property.
4. It removes the need for a written owner-broker agreement.

**Show answer and explanation**

**Answer: A) It secures the broker’s commission if the property is sold, regardless of who completes the sale.**. An exclusive listing gives one broker the listing rights for the agreed period. Under the exclusive-listing rule, the agreed commission remains payable even if the owner sells during that period.

### 9. How many active Contract F agreements can exist for a single property at the same time?

1. 1
2. No limit
3. 2
4. 3

**Show answer and explanation**

**Answer: A) 1**. Only one active Contract F can govern a property sale at a time. A property subject to an unresolved Contract F cannot be used for another Contract F.

### 10. What does Module 4 mean by a net listing?

1. A listing where the broker earns a fixed 2% commission
2. An unlawful arrangement where the broker retains the amount above an agreed net seller price
3. A listing limited to unfurnished properties
4. A listing shared by several brokers from the same office

**Show answer and explanation**

**Answer: B) An unlawful arrangement where the broker retains the amount above an agreed net seller price**. A net listing allows the broker to keep the excess above the seller’s stated net price. The course treats this as unlawful because it creates a conflict of interest.

### 11. A buyer obtains financing to purchase property. Is it correct that DLD charges a mortgage-registration fee of 4% of the loan amount and that the buyer and bank pay it equally?

1. Incorrect
2. Correct

**Show answer and explanation**

**Answer: A) Incorrect**. The statement is incorrect. Therefore, the correct response is “Incorrect.”

### 12. What duration does the DLD system apply by default to Contract B?

1. 1 year
2. 1 day
3. No fixed duration
4. 2 months

**Show answer and explanation**

**Answer: D) 2 months**. Contract B has a system minimum of 1 day, but its default duration is 2 months.

### 13. Which requirement for a brokerage contract follows Bylaw No. 85 of 2006 as cited in Module 4?

1. It must be written and identify the parties, property and terms
2. It may be oral when commission is below a limit agreed by the parties
3. Only the seller must sign it; the broker need not sign
4. It always requires notarisation regardless of value

**Show answer and explanation**

**Answer: A) It must be written and identify the parties, property and terms**. The brokerage agreement must be in writing and include the names of the parties, a description of the property and the conditions. This is the stated rule under Article 26.

### 14. If the parties have not agreed the broker’s fee, how is the fee determined?

1. As decided by the seller
2. According to prevailing custom
3. As decided by the buyer
4. At 1%

**Show answer and explanation**

**Answer: B) According to prevailing custom**. Where there is no agreement on commission, Bylaw 85 and the DLD FAQ position stated in the material apply prevailing custom.

### 15. Can Contract B include more than one buyer?

1. No
2. Yes
3. Yes, but only for completed properties
4. Yes, but only for residents holding Emirates ID

**Show answer and explanation**

**Answer: B) Yes**. Yes. The Contract B journey includes an option to add multiple buyers.

## Common exam traps

- Do not confuse Contract A with a sale contract: it is the seller-broker marketing agreement and the basis for the advertising permit.
- Do not confuse Contract B with Contract F: B records the buyer’s intention and has no withdrawal penalty, while F is the seller-buyer agreement with legal consequences.
- Commission is entered in Contract A and Contract B, not in Contract F.
- Our training questions use up to 3 active Contract A agreements from different offices, but the official documents we reviewed do not state that number.
- An exclusive listing is not one of three ordinary slots: while it is active, the system does not allow another Contract A for the property.
- A deposit of 10% may be a brokerage practice, but DLD documents we reviewed do not establish a minimum Contract F deposit; our training questions accept an offer without one.
